Terms of Service

These terms apply to Native Pledge Manager: the app for Shopify (the "Shopify app"), the plugin for WordPress and WooCommerce (the "plugin"), and this website. They are an agreement between you, the merchant using Native Pledge Manager for your business, and Deewang Ltd, Suite A, 6/F, Ritz Plaza, 122 Austin Road, Tsim Sha Tsui, Kowloon, Hong Kong ("we", "us"). By installing or using Native Pledge Manager you agree to these terms.

1. What Native Pledge Manager does

Native Pledge Manager helps merchants run a pledge manager after a crowdfunding campaign: importing backers, giving backers credit for their pledge, collecting survey answers and delivery addresses, selling add-ons, and preparing fulfilment. You decide how to configure it for your campaign.

2. Shopify app: price and billing

• The Shopify app is charged per campaign: a one-time fee (currently USD 199) for each campaign you create. The price is shown in the app before you buy. Each purchase includes a Sandbox campaign for testing.
• Charges are billed through Shopify and appear on your Shopify invoice. Shopify's terms for app charges also apply.
• A purchase covers the lifetime of that one campaign. It is not a subscription and does not renew.
• Development stores are charged test charges only, and no money is taken.
• Prices may change for future purchases. A change never affects a campaign you have already bought.
• Refunds are covered by our Refund Policy.

3. Plugin: license

A plugin license covers one production WordPress site and one campaign, for the lifetime of that campaign. We may revoke a license after a confirmed full refund, a confirmed chargeback, or confirmed fraud or abuse. Revocation blocks new campaign changes and purchases, and keeps your campaign views and exports available.

4. Your responsibilities

• You are responsible for your store, your campaign, your products, prices, shipping, taxes, and your relationship with your backers and customers, including fulfilling what you promised them.
• You must have the right to import and use your backers' information, and you must tell them how it is used (for example in your store's privacy policy). We process that information for you under our Data Processing Addendum.
• You must check your setup before going live, for example with the Sandbox, and review imports, credit and prices before you open the pledge manager to backers.
• You must not use Native Pledge Manager for anything unlawful, to send spam, or to interfere with the service or other merchants.
• For the plugin, you are responsible for backups of your own WordPress site and database.

5. Data

Your store and campaign data stay yours. Our Privacy Policy and Data Processing Addendum explain how we handle it. If you uninstall the Shopify app, Shopify asks us to delete your store's data about 48 hours later, and we do. Export anything you want to keep before uninstalling.

6. Support and availability

Support is by email at ; see Support. We work to keep the service available and reliable, but we do not guarantee it will be uninterrupted or error-free. The service depends on Shopify, WordPress, hosting and email providers that we do not control. We may change or improve features over time. We will not remove a core feature of a campaign you have bought without reasonable notice.

7. Suspension and ending

You can stop using Native Pledge Manager at any time by uninstalling it. We may suspend or end access if you seriously break these terms (for example fraud, abuse or unlawful use), if Shopify requires it, or if a payment is reversed. Where reasonable, we will give notice first so you can export your data.

8. Warranties and liability

Native Pledge Manager is provided "as is". To the extent the law allows, we disclaim implied warranties such as fitness for a particular purpose. To the extent the law allows, we are not liable for indirect or consequential loss (such as lost profits, lost data or lost goodwill), and our total liability for any claim is limited to the amount you paid us for Native Pledge Manager in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

9. Changes to these terms

We may update these terms. We will change the effective date above and tell you of material changes through the app or by email. If you keep using Native Pledge Manager after a change takes effect, the new terms apply.

10. Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, except that either party may seek urgent relief in any competent court. If you are a consumer, you keep any rights your local law gives you.
